These Terms of Service ("Terms") govern your access to and use of the Modulis observability platform, website, and related services (collectively, the "Service") provided by Modulis Inc. ("Modulis," "we," "our," or "us"). Please read these Terms carefully before using the Service.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
2. Description of Service
Modulis provides a full-stack observability platform that includes log management, distributed tracing, metrics monitoring, error tracking, session replay, web analytics, and AI-powered insights. The Service is available as:
- Self-Hosted: Deployed in your own infrastructure via Docker or Kubernetes.
- Fully Managed: Hosted and maintained by Modulis on our cloud infrastructure.
3. Account Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Promptly update your information if it changes
- Accept responsibility for all activity under your account
- Notify us immediately of any unauthorized access or security breach
You may not share your account credentials or allow others to access your account. We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Transmit malicious code, viruses, or any harmful or disruptive content
- Attempt to gain unauthorized access to the Service or its infrastructure
- Reverse engineer, decompile, or disassemble any part of the Service
- Use the Service for competitive benchmarking without written consent
- Resell, sublicense, or redistribute the Service without authorization
- Interfere with or disrupt the integrity or performance of the Service
- Circumvent any usage limits, rate limits, or access controls
We reserve the right to investigate and take appropriate action against any violations, including suspending or terminating your access.
5. Intellectual Property
The Service, including all software, content, designs, logos, and documentation, is owned by Modulis and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.
Your Data: You retain all rights to the data you submit to the Service. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service.
Feedback: Any feedback, suggestions, or ideas you provide about the Service may be used by Modulis without obligation or compensation to you.
6. Payment Terms
- Paid plans are billed in advance on a monthly or annual basis as selected during subscription.
- All fees are non-refundable except as required by law or as expressly stated in your subscription agreement.
- We reserve the right to change pricing with 30 days' advance notice. Price changes do not apply to the current billing period.
- Overdue payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is lower.
- We may suspend access to the Service if payment is not received within 15 days of the due date.
You are responsible for all applicable taxes. If required, we will add applicable sales tax, VAT, or similar charges to your invoice.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Modulis shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total aggregate liability for any claims arising from these Terms or the Service shall not exceed the amount you paid to Modulis in the twelve (12) months preceding the claim.
- The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so the above limitations may not apply to you in full.
8. Termination
Either party may terminate the agreement at any time:
- By You: You may cancel your account at any time through the account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
- By Us: We may suspend or terminate your access if you violate these Terms, fail to pay fees, or if required by law. We will provide reasonable notice when possible.
Upon termination:
- Your right to access the Service will cease immediately
- You may request an export of your data within 30 days of termination
- We will delete your data within 90 days of termination, except as required by law
- Provisions that by their nature should survive termination will remain in effect
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless you are located in a jurisdiction that requires disputes to be resolved in local courts.
